This precedent is a basic, long form agreement for engagement of an independent contractor (such as a consultant) by a company (client, receiver of services supplied) where the contractor is an individual. It contains many optional clauses that may be either retained or discarded depending on the circumstances of the situation, including clauses with respect to personnel of the contractor and obligations of both parties. The agreement also contains shorter form confidentiality, intellectual property and restraint clauses; longer form clauses are available separately.
